Joseph Chan is a business-savvy strategic counsel and former Fortune 500 Chief Legal Officer with over two decades of experience advising private equity, sovereign wealth, and venture capital funds, institutional investors, portfolio companies, and Fortune 500 corporations on more than $50 billion in complex transactions — including fund formation, going-private bids, strategic mergers, tender offers, acquisitions, joint ventures, divestitures, and capital markets offerings across the consumer, industrial, life sciences, energy, financial services, and technology sectors.
Most recently, Mr. Chan served as Chief Legal Officer of a NYSE-listed, Fortune 500 multi-brand consumer company (470+ million loyalty members, $11 billion in revenue, 400,000+ employees), where he oversaw board secretary functions, corporate governance, public company reporting, compliance, risk management, litigation, employment, IP, FCPA, and privacy. He co-led the company's precedent-setting dual listing on the Hong Kong Stock Exchange, raising $2.2 billion, and executed multiple strategic M&A transactions. Under Mr. Chan's leadership, the legal department earned industry recognition, including commendation from the Financial Times' Innovative Lawyers for Digital Legal Department.
Earlier, as a partner at Sidley Austin and Pillsbury for 14 years, Mr. Chan advised public company boards on fiduciary duties, conflicts, and sensitive government matters, and built deep international experience, particularly in Asia. Chambers, Legal 500, and IFLR1000 have consistently ranked him among the leading private equity, M&A, and capital markets lawyers, with Chambers noting he "lives and breathes private equity." He authored and edited a leading LexisNexis treatise on private equity and venture capital, and his views have been featured in the Wall Street Journal, the New York Times, Harvard Business Review, Bloomberg Businessweek, and Forbes.
Mr. Chan began his career as a judicial intern to the Honorable Royce C. Lamberth, U.S. District Court for the District of Columbia.
